Commission & Payment Terms

Overview

These Commission & Payment Terms explain how Operators earn and are paid for sponsorship deals facilitated through Seat Theory. They supplement, and are part of, our Terms of Use. Operators are independent contractors, not employees or agents of Seat Theory.

How Commission Works

An Operator earns a commission when a sponsorship deal the Operator sourced and worked through the platform is executed and paid by the sponsor. Commission is earned only after (a) an executed agreement, (b) payment is received, and (c) all applicable platform conditions are satisfied. Commission is calculated as a percentage of the realized deal value actually collected — not projected or contracted amounts that are never paid.

Commission Rates & Platform Fee

The commission split for each opportunity is shown on the opportunity before you pursue it. Seat Theory retains a platform fee for sourcing, vetting, packaging, facilitation, tools, and support. Rates and splits may vary by opportunity and are the rates displayed at the time you engage the opportunity.

Deal Attribution & Lead Protection

A lead you register through the platform is attributed and protected to you for thirty (30) days, subject to these terms. Commission is payable to the Operator credited with the deal in Seat Theory’s records. Where more than one Operator is involved, or attribution is unclear, Seat Theory will determine credit in good faith based on platform records.

When & How You’re Paid

Commission becomes payable only after (a) the sponsor has paid the corresponding amount and those funds have cleared, and (b) any applicable refund, cancellation, or dispute window has passed. Payouts are made through our payment processor to the payout method on file, on a regular schedule (generally within approximately thirty (30) days of cleared funds). You must maintain valid payment and tax details to receive payouts.

Invoicing

In most cases Seat Theory calculates and tracks commission for you in the Platform and the Deal Ledger, and you do not need to send a separate invoice. Where an invoice is required, we will tell you what to submit and where. You must keep valid payment and tax details on file to be paid.

Split & Partial Commissions

Splits. Where more than one Operator meaningfully contributes to a deal, commission may be split among them based on Platform records and our Relationship Attribution Policy, as determined by Seat Theory in good faith.

Partial commissions. Where a sponsor pays a deal in stages, or only part of a contracted amount is collected, commission is earned and paid on the amounts actually collected, in proportion, as those funds clear — subject to the clawback terms below.

Taxes & Independent Contractor Status

Operators are independent contractors and are solely responsible for their own taxes. Seat Theory does not withhold taxes. Where required by law, we will issue applicable tax forms (for example, a Form 1099 for U.S. Operators who meet reporting thresholds), and you agree to provide accurate tax information (such as a completed W-9 or W-8) before payouts are made.

Refunds, Cancellations & Clawbacks

If a sponsor obtains a refund, cancels, disputes, or fails to pay all or part of a deal after a commission has been paid or accrued, the corresponding commission may be reversed, reduced, or withheld, and any overpayment may be offset against future payouts or otherwise recovered.

Disputes

Attribution and commission disputes are reviewed by Seat Theory and decided in good faith based on platform records. We aim to resolve disputes fairly and promptly; our determination is final except where the law provides otherwise.

Your Obligations & Compliance

You agree to represent every opportunity honestly and professionally, to comply with all applicable laws and our policies, and to avoid any misrepresentation, conflict of interest, or conduct that harms sponsors, organizations, or Seat Theory. Violations may result in forfeiture of commission, suspension, or termination of your membership and access.

Changes to These Terms

We may update these terms from time to time. The terms displayed on an opportunity at the time you engage it govern that opportunity. Material changes will be posted here with an updated date.

Governing Law & Company

Seat Theory is operated by FivEye, LLC, a California limited liability company doing business as (“d/b/a”) Seat Theory, based in Los Angeles, California. These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Except as otherwise provided in our Terms of Use (including any arbitration or dispute-resolution provision), any dispute arising out of them will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction and venue.
