Commercial Discovery Terms
Overview
These terms apply to Commercial Discovery and the Commercial Blueprint™ process, in which Seat Theory analyzes an Organization’s assets to produce recommendations, packaging suggestions, and illustrative revenue projections for sponsorship Opportunities. They supplement our Organization Agreement and Terms of Use.
Recommendations & Projections Are Illustrative
Any recommendations, valuations, or revenue projections we provide are illustrative estimates based on the information available and our judgment. They are not guarantees of interest, deals, pricing, or revenue, and actual results may differ materially. You should not rely on any projection as a promise of outcome.
Packaging Suggestions
We may suggest how to structure, bundle, or price sponsorship inventory. Suggestions are options for your consideration, not requirements, and you are free to accept, modify, or reject them.
You Retain All Decisions
You retain full control over your inventory, pricing, and which Opportunities to pursue or accept. Seat Theory does not make commercial decisions on your behalf and is not responsible for decisions you make based on Commercial Discovery outputs.
Use of Your Uploaded Materials
To perform Commercial Discovery, you grant Seat Theory a license to store and analyze the materials and information you provide, and to use them to prepare recommendations and Opportunities. We may use AI-powered and automated tools to assist, with human oversight where appropriate; see our Privacy Policy. We do not sell your materials.
Confidentiality
Information and materials you share for Commercial Discovery are Confidential Information and are used only to prepare and facilitate your Opportunities, consistent with our confidentiality obligations.
Not Professional Advice
Commercial Discovery is a commercial-strategy service, not legal, financial, tax, or investment advice. You are responsible for your own decisions and should consult your own professionals where appropriate.
Governing Law & Company
Seat Theory is operated by FivEye, LLC, a California limited liability company doing business as (“d/b/a”) Seat Theory, based in Los Angeles, California. This agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules, and any dispute will be brought exclusively in the state or federal courts located in Los Angeles County, California, except as otherwise provided in our Terms of Use.
