Organization Agreement

Acceptance

This Organization Agreement governs your participation as an Organization on Seat Theory, in addition to our Terms of Use. Capitalized terms have the meaning given in our Definitions. By listing inventory or accepting this Agreement, you agree to these terms.

You Own Your Inventory

You retain all ownership of your sponsorship assets, inventory, audience data, and materials. Listing an Opportunity does not transfer ownership to Seat Theory or to any Operator. You represent that you have the right to list the inventory you post and to grant the license below.

License to Market

To operate the Marketplace, you grant Seat Theory a limited, non-exclusive, revocable license to display, package, present, and market your listed Opportunities to Members (including Operators and Brands) through the Platform, and to allow Operators to pursue them on your behalf. This license exists only to facilitate the Marketplace and ends for future marketing when you remove inventory or leave, subject to deals already in progress.

The Commercial Blueprint™ Process

Organizations may participate in our Commercial Blueprint™ process, in which Seat Theory works with you to identify sponsorship inventory and prepare it into commercial Opportunities. Recommendations and any projections produced through this process are illustrative and are governed by our Commercial Discovery Terms; you retain all decisions about your inventory and pricing.

Your Uploaded Materials

You retain ownership of decks, rate cards, audience sheets, and other materials you upload. You grant Seat Theory a license to store them and to use them solely to package, present, and facilitate your Opportunities and deals. We do not sell your materials, and we share them only as needed to work a deal (for example, with an Operator or prospective sponsor) consistent with our confidentiality obligations.

Removing Inventory

You may remove or update your Opportunities at any time. Removal stops future marketing of that inventory. It does not, on its own, cancel deals already in progress or commission already earned on a deal that closes; those are handled under our Commission & Payment Terms.

Working with Operators

Operators are independent contractors, not employees or agents of Seat Theory or of you. Seat Theory acts solely as a platform facilitator and is not your broker, agent, advisor, representative, or fiduciary unless expressly agreed otherwise in writing. Seat Theory facilitates introductions and provides the workflow; it does not guarantee that any Operator will produce a deal. You are responsible for your own decisions about which offers to accept.

Fees & Commission

Seat Theory earns a fee or commission on deals facilitated through the Platform, as described at the time of listing or in your order, and as set out in our Commission & Payment Terms. You agree not to use the Platform to identify counterparties and then transact outside it in order to avoid applicable fees.

Confidentiality

Seat Theory will treat your non-public inventory, pricing, audience data, and materials as Confidential Information and share them only as needed to market and facilitate your Opportunities. You likewise agree to keep confidential any non-public information you receive through the Platform. These confidentiality obligations survive the end of your listing or this Agreement.

If You Leave

You may stop listing and leave at any time. On departure, we stop marketing your inventory and, on request, remove your listings; deals already in progress and any earned commission are resolved under the Commission & Payment Terms. Confidentiality obligations survive.

Governing Law & Company

Seat Theory is operated by FivEye, LLC, a California limited liability company doing business as (“d/b/a”) Seat Theory, based in Los Angeles, California. This agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules, and any dispute will be brought exclusively in the state or federal courts located in Los Angeles County, California, except as otherwise provided in our Terms of Use.
