About These Definitions

These defined terms are used throughout our Terms of Use, Operator Agreement, Organization Agreement, Commission & Payment Terms, and other policies. Capitalized terms in those documents have the meanings given here.

Company

FivEye, LLC, doing business as Seat Theory (“Seat Theory,” the “Company,” “we,” “our,” or “us”) is a California limited liability company based in Los Angeles, California. Seat Theory is a membership-based education and marketplace platform that connects sports organizations, brands, and independent operators.

People & Roles

Member — any person with a Seat Theory account, including Operators, Organizations, Brands, and Students.

Operator — an independent Member who uses the Platform to pursue commercial partnership opportunities. Operators are independent contractors, not employees or agents of Seat Theory.

Organization — a Member (such as a team, event, creator, agency, or IP owner) that lists sponsorship inventory as Opportunities on the Platform.

Brand — a Member seeking sponsorship Opportunities that fit its audience and goals.

Student — a Member enrolled in the Operator Certificate who is progressing toward becoming an Operator.

The Platform & Marketplace

Platform — the Seat Theory websites, applications, portal, and related software and services.

Marketplace — the part of the Platform where Organizations list Opportunities and Operators discover and pursue them.

Opportunity — a sponsorship listing made available on the Marketplace, including its associated materials, terms, and any displayed commission information.

Deal Room — a private workspace on the Platform where an Operator, Organization, and Seat Theory track a specific deal.

Programs & Methodology

Operator Certificate Program (the “Program”) — Seat Theory’s cohort education program that trains Members in sponsorship sales; it includes membership in the Operator Network.

Operator Network — the community and access that graduates and members join to work real Opportunities as Operators.

Commercial Blueprint™ — Seat Theory’s proprietary process for working with an Organization to identify sponsorship inventory and prepare it into commercial Opportunities.

Commercial Discovery — Seat Theory’s process of analyzing an Organization’s assets to produce recommendations, packaging suggestions, and illustrative revenue projections. See our Commercial Discovery Terms.

Confidential Information

Confidential Information — non-public information disclosed through or obtained via the Platform. Without limitation, information relating to sponsorship opportunities, pricing, contacts, inventory, commercial terms, strategy, proposals, deal rooms, uploaded documents, and negotiations constitutes Confidential Information, together with any information marked or reasonably understood to be confidential.
